Promotion overview. For eligible new merchant customers, Toast offers a one-time 100% discount on hardware purchased in the Initial Order Form and three months subscription fees free of charge for selected Software modules, subject to these terms. The promotion is available in the United Kingdom, Ireland, and Canada and runs until 31 December 2025 at 23:59 local time (UK, Ireland, Canada). Conditions of eligibility, geographic scope, and timing apply and are described in these Terms.
Eligibility. This promotion is available only to new merchant customers that sign an Initial Order Form with the applicable Toast Entity on or before 31 December 2025 and that are expected to meet the Gross Payment Volume (“GPV”) threshold applicable to their country, as set out below. Published GPV ranges are indicative only and do not create a right to participate. Toast may waive, in whole or in part, any GPV eligibility criteria in these Terms. Any waiver will not create an obligation to waive for other customers and does not establish a precedent. Toast will apply discretionary waivers and variations consistently and based on legitimate, objective business criteria, and will not make eligibility decisions based on prohibited grounds of discrimination under applicable law. “Toast Entity” means Toasttab UK Limited (for new merchant customers located in the United Kingdom), Toasttab Ireland Limited (for new merchant customers located in Ireland), and Toast Canada, Inc. (for new merchant customers located in Canada). This promotion may be redeemed once per eligible new customer and may not be combined with other promotions or discounts unless expressly stated by Toast in writing.
Indicative GPV thresholds by region: United Kingdom: annual GPV of approximately GBP 500,000, Ireland: annual GPV of approximately EUR 500,000 and Canada: annual GPV of approximately CAD 750,000. These ranges are guidance only and may be varied or waived by Toast at any time, in its discretion.
For the purposes of this promotion, GPV means the total monetary value of payment transactions processed for the merchant’s locations through the Toast platform (including its payment processing partner) calculated on an annual basis (12‑month period). The annual measurement period, methodology, and any evidence Toast may request to assess expected GPV will be communicated in writing and may include (a) historic statements, (b) audited or unaudited financial statements, and/or (c) reasonable annual projections validated during the sales engagement. Where eligibility is assessed using projections, Toast may request reasonable documentation; validation is not a condition to receiving the promotion where Toast elects to waive any GPV guidance. Provided that if the threshold is not achieved, no clawback will apply unless expressly stated in the Initial Order Form.
Hardware. Eligible new customers receive a one-time 100% discount on Toast hardware line items included in their Initial Order Form (and its corresponding quote). The discount excludes shipping, installation, taxes, duties, and any other fees, has no cash value, is non-transferable, and cannot be applied to other products or charges. The discount does not apply to hardware purchased after the Initial Order Form or under subsequent orders or renewals. Hardware is subject to availability.
Software. Eligible new customers receive the first three months free of charge (subscription fee only) for each purchased Software module (available in the relevant region) included in their Initial Order Form. After the initial three-month free period, standard monthly subscription fees will be billed at the quoted price for the remainder of the Initial Term (defined in the Initial Order Form). This is not a free trial; the Initial Term continues and standard fees apply after the first three months. Toast may, in its sole discretion, permit early termination of subscriptions to purchased Software modules (in their Initial Order Form) before the end of the Initial Term without the application of the early termination fee, provided the relevant modules have been configured and used at the applicable location; any such early termination will not entitle the customer to any refund or credit for amounts already paid. This does not apply to Software modules purchased after the Initial Order Form or under subsequent orders or renewals.
Exclusions. Existing customers of any Toast Entity that have already purchased any Software modules under an existing order are excluded. The promotion cannot be redeemed for cash and cannot be applied to software or services not included in the promotion, nor to any other Toast products, shipping, taxes, duties, or fees. The promotion is valid only for locations in the United Kingdom, Ireland, and Canada; the applicable Toast Entity is determined by the customer’s location as specified in the Initial Order Form.
Changes and termination. Toast may modify, suspend, or terminate this promotion at any time, in whole or in part, to the extent permitted by law, provided that such modification, suspension, or termination will not affect promotions already applied to a fully executed Initial Order Form prior to the effective date of such change. This promotion is void where prohibited. Toast reserves the right to correct clerical or typographical errors and to refuse the promotion in cases of suspected fraud, abuse, or violation of these Terms.
Relationship to other terms. Except as expressly provided in these Terms, all purchases and subscriptions remain subject to the Initial Order Form and applicable merchant agreement, or other agreement with the applicable Toast Entity. In the event of a conflict between these Terms and any other governing agreement, these Terms will control solely with respect to the promotion described herein.
Non-transferability and no cash value. The promotion is non-transferable, has no cash value, and may not be sold, assigned, or exchanged. No refunds, credits, or substitutions will be provided except as expressly stated in these Terms.
Effective period. These Terms take effect upon publication. To qualify, the Initial Order Form must be fully executed on or before 31 December 2025 at 23:59 local time (UK, Ireland, Canada); the promotion runs until that date (or while supplies last, whichever occurs first).
